1. General provisions and scope

Tradebonus GmbH, Blegistrasse 9, 6340 Baar (Canton Zug), Switzerland (hereinafter “Tradebonus” or “we”) provides, under the “domizilservice24” offering, services relating to a business location in Switzerland – in particular business and domicile addresses that can be entered in the commercial register, mail forwarding, phone service, company formation, registered-office relocation, governance mandates, accounting as well as workspaces and rooms. “domizilservice24” is an offering of Tradebonus GmbH and not a registered trademark. These General Terms and Conditions (GTC) govern the rights and obligations between Tradebonus and the customer (hereinafter “customer”) in connection with all services ordered or used via the website domizilservice24.ch. By placing an order and by any further use of the offering, the customer confirms having read these GTC and accepting them in the version valid at the time of ordering. Differing or conflicting terms of the customer apply only if we expressly agree to them in writing.

2. Contracting parties (special case: new formation)

The customer's sole contracting party is Tradebonus GmbH. For a new formation, as long as the company to be formed is not yet entered in the commercial register, the contract is concluded with the natural person who places the order in the name of the company to be formed (the person completing the process). That person acts for the company to be formed and is personally liable until registration for the obligations under this contract; their private residential address provided in the order process is decisive. Upon entry of the company in the commercial register, the contract is deemed assumed by the company (Art. 645 and 779a of the Swiss Code of Obligations); the person completing the process acts for this purpose also as a governing body of the company. The company thereby replaces the person completing the process as the contracting party, and that person's personal liability ceases for the future. Until registration and for obligations arising before registration, the person completing the process remains personally liable; they also remain a contracting party and continue to be liable if and as long as the assumption by the company is not legally effective.

3. Order and conclusion of contract

Orders are placed online via the configurator; the customer makes the first payment in advance, online or by advance payment (clause 9). By completing the order process, the customer bindingly instructs Tradebonus to provide the selected services in accordance with the details and modalities entered. Tradebonus reserves the right to adapt the range of services, individual functions and the website at any time and without prior notice; for an order already completed, the service agreed at the time of ordering applies at the agreed price.

4. Services (domicile address)

Provision of a business address in Canton Zug that can be entered in the commercial register (with or without c/o note) incl. mail acceptance and one weekly physical mail forwarding (A-Post letter). For an address with c/o note, provision is made via a domicile contract (Tradebonus GmbH as domicile holder, with a domicile acceptance declaration); for an address without c/o note, via a sublease contract with a right of shared use of the premises, granting your company a legal title for an own legal domicile (Art. 117 Commercial Register Ordinance). Actual use of workspaces or meeting rooms is not included and is only possible with an address without a c/o note and as a separately booked service.

5. Add-on services

Modular add-on services per the website, each at the prices shown in the order process: higher-frequency mail forwarding (twice weekly) or digital delivery as a scan by e-mail (up to three e-mail addresses can be stored for digital delivery); phone service; company formation; registered-office relocation; opening of a capital deposit account; accounting and governance mandates. For the phone service we do not provide our own phone numbers; calls are answered via a specialised partner, the customer forwards their own landline or mobile number to the number we provide, and variable usage costs apply per the price list published on the website. Company formation is bookable either as a corporation (AG/GmbH) or as a sole proprietorship at different flat fees; for corporations only cash formation (cash contribution) is available online, contributions in kind are handled on request. Optional formation add-ons – in particular remote signature certification (per person), opening of a capital deposit account, custom articles of association, a shareholders' or quotaholders' agreement and VAT registration – are available depending on the legal form; we handle them individually and coordinate the details with you after the order. The relocation flat fee depends on the situation: relocation from another political municipality requires notarisation; a mere change of domicile within the same municipality is subject to the reduced flat fee. Further notarisation-requiring changes commissioned at the same time (company name, purpose, general revision of the articles) likewise require notarisation and are charged accordingly. For company formation and relocation, notary costs are included in the fixed price; official commercial-register fees, certifications and other third-party costs are not included. Person changes in the commercial register commissioned in the course of a relocation (entry/exit of authorised signatories) are charged at CHF 150.– per person change; further amendments are quoted separately. For a relocation the customer provides the current articles of association, where possible in Word format. Accounting and governance mandates are provided on the basis of an individual quote – to domicile clients and to other companies based in Switzerland alike; for these services and for the phone service we contact you separately after the order to arrange the details.

6. On-site packages (desk, co-working, meeting room)

Dedicated desks and co-working are bookable as monthly packages (online up to 12 months), the meeting room as an hourly quota (online up to 100 hours). With annual billing, the monthly packages are paid once in advance; with monthly billing their value is spread over the twelve monthly instalments of the contract term. The hourly quota for the meeting room is always paid once in advance. Monthly packages and the hourly quota can only be used during the term of the domicile contract; days or hours not used by the end of the term expire without compensation. For co-working, the day allowance of a monthly package relates to the respective contract month: days not used in that month expire at the end of it and are not carried over to the next month. This monthly rule expressly does not apply to the hourly quota for the meeting room, which can be used across the entire term. A dedicated desk is provided at a fixed monthly price and without a day allowance. Scheduling is via the online booking calendar provided after the contract is signed; use requires an address without a c/o note and is subject to normal business hours and the house rules at the location (dedicated desk: 24/7 access).

7. Prices, VAT and third-party costs

All prices are in Swiss francs and exclusive of VAT (Swiss standard rate 8.1%). A one-time setup fee of CHF 199.– applies. Third-party costs and fees – in particular official commercial-register fees, bank, certification and postage costs – are not included in the fee and, where they run through us, are charged on in addition. Postage for physical forwarding is calculated and charged by delivery country and forwarding frequency (A-Post letter: Switzerland and Liechtenstein CHF 1.70, Europe as defined by Swiss Post CHF 5.00, rest of world CHF 7.50 per item; the country of the delivery address applies); parcels and registered mail at the actual rate. Billing is exact to the centime; the final amount shown in the order process corresponds exactly to the amount charged via the payment service provider or shown on the QR bill. The contract start date can be chosen as the 1st or 16th of a month. The prices shown on the website at the time of ordering apply.

8. Means of payment and use subject to payment

Payments are accepted in Swiss francs. Tradebonus may exclude individual means of payment without giving reasons, generally or in an individual case, and may charge surcharges for certain means of payment. Tradebonus is entitled to require payment in advance for individual services to safeguard legitimate interests. Services ordered with advance payment and packages payable in advance (desk, co-working, meeting room) can only be used once payment has been received in full; until then there is no entitlement to use them.

9. Payment, payment terms and default

The first payment is made, as chosen by the customer, online via our payment service provider Stripe (incl. TWINT, credit/debit card) or by advance payment. For advance payment, we send a QR bill by e-mail that is due for payment immediately upon receipt; all service and execution periods only begin once payment has been received in full. For subsequent periods we send you an invoice with a payment link after the contract is signed, allowing convenient online payment; bank transfer is also available on request. Subsequent payments are owed in advance: with monthly billing, payment is due no later than the 1st of the month concerned, and with annual billing no later than the first day of the respective renewal period; if that day falls on a Saturday, Sunday or a public holiday recognised at the registered office in Baar (ZG), payment is due on the last preceding working day. For monthly billing a surcharge of CHF 20.– per payment applies. If an invoice is not paid on time, we issue a reminder; if payment is still not made within the additional period set, the customer falls into default and owes default interest of 5% per year from the onset of default. In the event of late payment we reserve the right to suspend services after a reminder until all outstanding amounts have been settled.

10. Binding effect, review and right to refuse

With the order the customer places a binding order – regardless of whether payment has already been made. There is no right of withdrawal once the order has been placed; Swiss law provides no statutory right of withdrawal or return for this online-ordered service. We review every request based on the customer's information and publicly available information. We expressly reserve the right to refuse issuing the contract even after payment (e.g. in case of questionable or unclear use). If we refuse acceptance, the amount paid is fully refunded; no further claims exist.

11. Contract and signing

After a successful review we draw up the contract documents and send them to you by e-mail. Please print each contract in duplicate, sign both copies by hand and send both signed copies to Tradebonus GmbH, Blegistrasse 9, 6340 Baar (Canton Zug). Upon receipt we counter-sign promptly and return one fully signed copy to the delivery address provided in the order process. The customer warrants that the persons named as signatories in the order process are authorised to sign for the company individually or – in the case of joint signature – jointly, or will be upon formation; for existing companies, signing authority must be verified against the commercial-register excerpt. For an address with a c/o note we issue the domicile contract including the domicile acceptance declaration; for an address without a c/o note the sublease contract. The order is binding (clause 10); withdrawal is excluded and there is no claim to a refund of the amount paid. If you do not sign or do not return the contract documents sent to you, we cannot activate the address; the amount owed for the order remains payable.

12. Term and cancellation

The term of the domicile contract is 12 months and renews for 12 months each time unless cancelled in writing (e-mail is sufficient) one month before the end of the term. Add-on services booked and charged in the order process – mail forwarding, the phone service and the on-site packages under clause 6 – are not cancellable on a monthly basis; they run until the end of the term booked or of the term of the domicile contract. The on-site packages under clause 6 do not renew automatically: they end with the package term booked or with the hourly quota booked, and at the latest with the domicile contract. Only accounting and governance mandates, which we provide on the basis of an individual quote and which do not change the price shown in the order process, are governed as to term and cancellation by that agreement. If the contract ends early, for whatever reason, the fee for the current 12-month period remains payable; fees already paid are not refunded.

13. Customer obligations, warranties and assurances

The customer provides truthful and complete information, keeps it up to date, cooperates with identification and any due-diligence obligations, and uses the address lawfully only. Details imported into the order form from the central company index (Zefix) become the customer's own statements only after the customer's review and confirmation. For documents uploaded in the order process (e.g. articles of association) the customer warrants that they are genuine, current and free of third-party rights preventing their use. Any transfer or use of the address by third parties requires our consent. The customer confirms having reviewed all information for accuracy before notarisation and before filing with the commercial register. The customer acknowledges that forging or falsifying documents, using a genuine signature to create a false document and obtaining an untrue certification are punishable under Art. 251 et seq. of the Swiss Criminal Code, and undertakes to comply with the prohibition on the repayment of capital contributions (Art. 680 para. 2 and Art. 793 para. 2 of the Swiss Code of Obligations).

14. Start of performance for formation and relocation

For company formation, relocation and commercial-register amendments we begin performance (consultation, preparation of documents) immediately after receipt of payment and review, and accompany you personally – in writing and/or by phone – until the entry in the commercial register is completed. The order is binding here too (clauses 10 and 11); withdrawal is excluded and there is no claim to a refund. If notarisation or registration does not take place for reasons within the customer's sphere, we reserve the right not to refund the fee already paid for the work performed.

15. VAT registration

On request, Tradebonus carries out the registration with the Swiss Federal Tax Administration (FTA) for VAT liability, following the customer's instructions. The decision on the accounting method and the timing of registration lies solely with the customer; Tradebonus accepts no liability for financial disadvantages arising from the chosen method or the registration date. If the customer does not receive confirmation from the FTA within a reasonable period despite a requested registration, the customer must inform Tradebonus within 7 days; failing such notice, any liability of Tradebonus for a missed registration is excluded.

16. Documents and contracts prepared

If Tradebonus prepares documents or contracts based on the information provided by the customer (e.g. articles of association, shareholders' or quotaholders' agreements), these are based on the customer's information. Tradebonus accepts no liability for claims or disputes arising from the use of these documents. The customer is responsible for reviewing their content and for the legal and tax consequences.

17. Scope of advice – no legal or tax advice

For commercial-register matters (formation, relocation, amendments) we advise on the steps required for them. Our content and tools – including the tax comparison, the knowledge articles and all notes on the website – are general information or indicative values and do not replace individual legal, tax or fiduciary advice. For questions outside the commercial-register area – in particular tax, financial, social-insurance and other legal matters – the customer must contact the relevant professionals (fiduciaries, tax advisers, lawyers) on their own responsibility. The tax comparison is based on the published tariffs and multipliers of the Swiss Federal Tax Administration (FTA); we accept no liability for its accuracy, completeness or timeliness.

18. Liability

Claims for damages against Tradebonus arising from impossibility of performance, breach of contract, fault on conclusion of contract or tort are excluded unless there is intentional or grossly negligent conduct; liability for slight negligence is excluded to the extent legally permissible. Liability for indirect damage, consequential damage and lost profit is excluded. Liability for direct damage is limited to the amount the customer has paid to Tradebonus for the service concerned; this limitation does not apply in the case of intent or gross negligence. Any damage must be asserted in writing within six months of becoming aware of it. Tradebonus is not liable for delays or failures beyond its control (e.g. force majeure, postal transit, authorities, banks, payment and other third-party providers, and content from third-party sources such as Zefix or the FTA) and gives no warranty for third-party services used or integrated in connection with the offering. Liability for auxiliary persons is excluded to the extent legally permissible. The customer indemnifies Tradebonus against third-party claims arising from the customer's unlawful or contract-breaching use of the services.

19. Intellectual property

All content and elements of the website and the offering (texts, design, graphics, calculators, logos) are protected by copyright and are owned by Tradebonus or the respective rights holders. The customer receives a simple, non-transferable right to use the offering as intended. Any further use requires the prior written consent of Tradebonus.

20. Data protection

The processing of personal data is governed by our privacy policy and the revised Swiss Data Protection Act (revFADP); the privacy policy forms an integral part of these GTC. Disclosure to third parties occurs only where necessary to perform the contract (in particular to notaries, commercial-register offices, banks and carefully selected IT providers) and not for advertising purposes. The customer remains responsible for the lawfulness of the data they transmit; if they transmit third-party data, they confirm being authorised to do so and having informed the persons concerned accordingly.

21. Contracting party, assignment and use of third parties

The contracting party for all services provided under the “domizilservice24” offering is exclusively Tradebonus GmbH. Individual services – in particular the phone service as well as company formation and registered-office relocation (the latter via a Swiss lawyer or notary, or specialised partners) – are provided with the support of carefully selected, specialised partners and subcontractors. The contractual relationship in each case is with Tradebonus GmbH; towards the customer, only Tradebonus GmbH remains obligated and the point of contact. Tradebonus may at any time use auxiliary persons to provide its services and may transfer provision in whole or in part to third parties. Tradebonus may assign rights and obligations under the contract to a third party at any time; the customer may do so only with our prior written consent.

22. Set-off

Set-off of Tradebonus' claims against counterclaims of the customer is excluded unless otherwise agreed in writing.

23. Amendments, priority and severability

Tradebonus may amend these GTC at any time; the version valid at the time of ordering applies and is not unilaterally changed for the order concerned. These GTC take precedence over earlier provisions; rules from individual agreements that supplement or specify these GTC prevail. Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected; the invalid provision is replaced by a permissible rule that comes closest to its economic purpose. The same applies to any gaps in the contract.

24. Governing law and jurisdiction

Swiss law applies exclusively, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Baar (Canton Zug), subject to mandatory statutory places of jurisdiction. For customers domiciled or based abroad, Baar (Canton Zug) is also deemed the place of debt enforcement.
