FAQ
Our support costs CHF 590.– for a GmbH or AG and CHF 190.– for a sole proprietorship; the notary costs of a GmbH or AG formation are already included in the fixed price. Charged separately are: the Zug business address that serves as your registered seat (from CHF 39.–/mo with yearly payment, plus a one-time CHF 199.– setup fee), the official commercial-register fees of roughly CHF 550.– for a new GmbH/AG entry (as at 2026) and, for a GmbH or AG, the share capital to be paid in. All prices excl. VAT.
At least one quotaholder, share capital of at least CHF 20,000 that must be fully contributed at formation (usually paid into a capital deposit account), articles of association, public notarisation and a business address in Canton Zug that can be entered in the commercial register. The GmbH must also be able to be represented by a person resident in Switzerland (Art. 814 para. 3 CO). Standard articles, notarisation and the commercial-register filing are included in our fixed price of CHF 590.–.
An AG needs share capital of at least CHF 100,000; at formation at least 20 per cent of each share and at least CHF 50,000 in total must be paid in. On top come articles of association, a board of directors, public notarisation and a business address in Canton Zug that can be entered in the commercial register. The AG must be able to be represented by a person resident in Switzerland – a board member or a director (Art. 718 para. 4 CO). As for a GmbH, our support costs CHF 590.– including notary costs.
Yes. A sole proprietorship needs neither minimum capital nor public notarisation; in return, the owner is liable with their private assets. Entry in the commercial register is mandatory from an annual turnover of CHF 100,000 and voluntary below that. We support the formation of your sole proprietorship for CHF 190.–; a small official commercial-register fee is added.
A sole proprietorship is ready within a few days; a GmbH or AG in roughly 1–2 weeks once all documents and the capital deposit are in place. We send out the contracts for the Zug business address within 24 hours; it becomes active once you have returned the signed copies and we have counter-signed, with the contract starting on the 1st or the 16th.
No. A business address that can be entered as your company's statutory seat in the commercial register, which we provide, is enough for a registered seat in Canton Zug – your residence can stay elsewhere. For a GmbH or AG, however, at least one authorised representative must be resident in Switzerland; if there is none, a governance mandate comes into play, which we provide on request after a mandate review.
The legal steps – preparation of the articles and formation documents, public notarisation and filing with the commercial register – are handled by a Swiss lawyer and notary. We remain your single point of contact: the consultation, the wording of the company purpose and all correspondence run through us, with no direct law-firm contact for you. This means your company is set up in a legally sound, highly professional way.
A sole proprietorship suits lean setups; a GmbH or AG suits limited-liability structures. We recommend the option that best fits your plans.
To form a GmbH or AG you pay the share capital into a blocked account (capital deposit account) at a Swiss bank; the bank issues the payment confirmation required for the notarisation. We handle coordination and account opening for a one-time CHF 490.– (plus bank fees) – bookable directly in the configurator.
Notary costs are already included in our fixed price. The official cantonal commercial-register fees are charged separately, plus – for a GmbH/AG – the share capital as your own contribution (which remains your company's assets). A sole proprietorship has no capital contribution; only a small commercial-register fee remains. We disclose every item transparently before you sign.
